These Terms of Use (“Terms”) govern your access to and use of the website located at www.builderbuyerplus.com (the “Site”), operated by BuilderBuyerPlus, LLC, a Florida limited liability company (“BuilderBuyerPlus,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Site. The Site is not directed to children under 13, and we do not knowingly allow children under 13 to access the Site. Users between 13 and 18 should only use the Site under the supervision and consent of a parent or legal guardian.

2. No professional advice

The content on this Site is provided for general informational and educational purposes only. Nothing on this Site constitutes legal, tax, financial, mortgage, insurance, or investment advice. Real estate transactions involve significant legal and financial decisions. Consult a licensed attorney, certified public accountant, licensed mortgage professional, or other qualified professional before making any decision based on information from this Site.

3. No brokerage relationship until agreement signed

Use of this Site does not create a brokerage, agency, or fiduciary relationship between you and BuilderBuyerPlus. A brokerage relationship is established only after a written agreement has been executed between you and BuilderBuyerPlus. Until that agreement is signed, BuilderBuyerPlus owes you no duties of representation under Florida Statute §475.

Under Florida law, all real estate licensees are presumed to be operating as Transaction Brokers unless a Single Agent or No Brokerage Relationship is established in writing. BuilderBuyerPlus operates as a Transaction Broker.

4. Broker compensation

Broker compensation is fully negotiable and not set by law. BuilderBuyerPlus typically secures compensation through builder-paid compensation. The specific terms of representation and compensation are governed by our written Buyer Brokerage Agreement, which must be executed prior to property touring. We provide enhanced advocacy for new construction buyers as Transaction Brokers per Florida Statute §475.

5. Accuracy of information

We work to keep the information on this Site accurate and current, but we make no representations or warranties about the accuracy, completeness, or timeliness of any content. New construction inventory, builder incentives, pricing, financing programs, and market conditions change frequently. Verify all material information directly with the relevant builder, lender, or other source before relying on it.

6. User accounts

The Site may offer user account features. If you create a user account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security and confidentiality of your username and password
• Accept responsibility for all activities that occur under your account
• Notify us immediately at contact@builderbuyerplus.com of any unauthorized use of your account or any other breach of security
• Log out from your account at the end of each session, especially on shared or public devices

You are solely responsible for any consequences resulting from your failure to keep your credentials secure. We are not liable for any loss or damage arising from your failure to comply with these obligations.

We reserve the right to suspend, disable, or terminate any account at our sole discretion, with or without notice, for any violation of these Terms or for any other reason we deem appropriate.

7. Intellectual property

All content on this Site, including text, graphics, logos, images, photographs, video, audio, software, the “BuilderBuyer+” brand mark, the “Buyer+ Certified” mark, and the underlying compilation and arrangement of content, is the property of BuilderBuyerPlus, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, publish, transmit, create derivative works from, sell, or otherwise exploit any content on this Site without our prior written permission. You may not remove or alter any copyright, trademark, or other proprietary notice on any content.

8. User-submitted content

If you submit any content to the Site — including testimonials, reviews, feedback, comments, photographs, or any other materials (collectively, “User Content”) — you grant BuilderBuyerPlus a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, non-exclusive license to use, copy, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content in any media now known or later developed, for any business purpose. You represent and warrant that you own or have all necessary rights to grant this license, and that your User Content does not violate any third-party rights or any law.

You are solely responsible for your User Content. We are not responsible for any User Content, and we do not endorse it. We reserve the right (but have no obligation) to monitor, edit, or remove any User Content at our sole discretion.

9. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law
• Use the Site in a way that could damage, disable, overburden, or impair it
• Attempt to gain unauthorized access to any part of the Site, other user accounts, or any underlying systems, servers, or networks
• Interfere with or disrupt the Site, networks connected to the Site, or other users’ access
• Use any automated tools, including bots, spiders, scrapers, crawlers, data-mining tools, or similar technologies, to access, monitor, or copy any content from the Site without our prior written consent
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Site
• Transmit viruses, worms, Trojan horses, ransomware, or any other malicious code
• Use the Site to gather information about other users for any unauthorized purpose
• Submit false, misleading, or fraudulent information through any form on the Site
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Site to send unsolicited commercial communications (spam) or to harvest contact information

• Use the Site to compete with us or to develop a competing product or service
• Use any meta tags, hidden text, or other hidden content using our names, trademarks, or product names without our written consent

We reserve the right to investigate and take legal action against anyone who violates this section, including pursuing civil remedies, criminal referrals, and reporting to law enforcement.

10. Mobile and text message terms

By providing your mobile phone number through any form on the Site, opting in to text messages, or replying to a message we send, you consent to receive recurring transactional and promotional text messages from BuilderBuyerPlus at the number you provide. Text messages may be sent using an automatic telephone dialing system. Your consent is not a condition of purchasing any goods or services.

11. Linking to the Site

You may link to the home page of our Site (www.builderbuyerplus.com) for non-commercial purposes only, provided that the link does not (a) suggest any endorsement, sponsorship, or affiliation with BuilderBuyerPlus that does not exist; (b) misrepresent your relationship with BuilderBuyerPlus; or (c) display the Site within a frame or otherwise obscure the URL of the Site. We reserve the right to revoke this permission at any time.

Deep linking to interior pages, framing the Site, or displaying the Site within another website is prohibited without our prior written consent.

12. Third-party links and content

The Site may contain links to third-party websites or content. We do not control and are not responsible for third-party sites, their content, products, services, or privacy practices. Links are provided for convenience only and do not constitute endorsement.

13. DMCA — Copyright infringement notices

We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (“DMCA”).

If you believe content on our Site infringes your copyright, please send a written notice to our Designated Agent that includes all of the following:

1. A physical or electronic signature of the copyright owner or authorized representative
2. Identification of the copyrighted work claimed to have been infringed
3. Identification of the material claimed to be infringing, with enough detail to locate it on our Site (such as the URL)
4. Your contact information (address, phone, email)
5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on its behalf

If you believe content was removed from our Site in error, you may file a counter-notification meeting the requirements of 17 U.S.C. §512(g). Note that filing a materially false DMCA notice or counter-notice may subject you to liability for damages, including costs and attorney fees.

15. Limitation of liability

To the fullest extent permitted by law, BuilderBuyerPlus and its officers, members, managers, employees, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Site, even if we have been advised of the possibility of such damages.

In no event will our total cumulative liability to you for all claims arising from or related to the Site or these Terms exceed the greater of (a) one hundred dollars ($100.00) or (b) the total amount you have paid directly to BuilderBuyerPlus in the twelve months preceding the claim. This limitation applies to all causes of action in the aggregate, including breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and other torts.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless BuilderBuyerPlus and its officers, members, managers, employees, agents, affiliates, and licensors from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or any rights of any third party; (d) any User Content you submit; or (e) your negligence, willful misconduct, or other wrongful conduct.

17. Suspension and termination

We may suspend or terminate your access to all or part of the Site at any time, with or without notice and with or without cause, including for any violation of these Terms. Sections of these Terms that by their nature should survive termination will survive, including provisions on intellectual property, user-submitted content, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

18. Electronic notices

You consent to receive communications from us electronically, including by email, by text message (if you have opted in), and through notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

19. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

20. Fair Housing

BuilderBuyerPlus is an Equal Housing Opportunity provider. We comply with the Fair Housing Act and all applicable federal, state, and local laws prohibiting discrimination on the basis of race, color, religion, national origin, sex, familial status, disability, or any other protected characteristic.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. The severed provision shall be replaced with an enforceable provision that most closely matches the original intent.

22. Entire agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced here, constitute the entire agreement between you and BuilderBuyerPlus regarding your use of the Site and supersede all prior agreements, representations, and understandings.

23. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of BuilderBuyerPlus.

24. No third-party beneficiaries

These Terms do not create any third-party beneficiary rights in any person or entity not a party to these Terms.

25. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely. Any unauthorized assignment is void.

26. Headings

Section headings in these Terms are for convenience only and do not affect the interpretation of any provision.

27. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
